Dayline

Terms of service

Effective October 12, 2026 · Version 2026-10-12

Dayline is business software for catering quotes and client correspondence. You own your business data and remain in control of your subscription.

1. Our agreement and eligibility

These terms are an agreement between White Birch Ventures LLC, a Minnesota limited liability company (Dayline, we, us), and the business you represent (you). Our Billing and refunds policy forms part of these terms. Our Privacy notice explains our handling of personal information. By affirmatively accepting these terms, you confirm that you are at least 18, represent a US-based business, and have authority to bind it. Dayline is initially offered only to US businesses for business use.

The standard subscription is for one business and one owner account. Keep your credentials private and your account information accurate. You are responsible for activity you authorize and must promptly report suspected unauthorized access. We remain responsible for our own obligations under these terms.

2. Your use of Dayline

During your trial or subscription, we grant you a limited, nonexclusive, nontransferable right to use Dayline for your internal business and your communications with clients. We retain rights in Dayline software, branding, and documentation. You retain rights in your content. You grant us only the rights needed to host, copy, transmit, display, back up, secure, and otherwise process your content to provide and support the service, comply with law, and carry out your instructions.

You must have the necessary rights and permissions to enter client information and send messages. Do not use Dayline for spam, fraud, unlawful discrimination, infringement, prohibited goods or services, unauthorized access, malware, abusive traffic, or interference with other users. Do not bypass access controls or usage limits. Reverse engineering restrictions apply only to the extent permitted by law. We may apply reasonable security and sending limits; the plan does not include unlimited email delivery.

3. Quotes, food service, and client agreements

You are the seller of your catering services. You are responsible for event fulfillment, staffing, licenses, food safety, allergen and dietary communications, insurance, prices, taxes, gratuities, deposits, cancellations, refunds, and your agreements with clients. Dayline does not cater events, act as your agent, or become a party to your client contracts.

Costs, margins, totals, and reports depend on your entries and are estimates, not accounting, tax, legal, food-safety, or financial advice. Review calculations, recipients, dates, payment instructions, and document terms before relying on or sending them. A proposal acceptance record is evidence of an interaction; we do not guarantee that a document meets every requirement for an enforceable contract or electronic signature.

Customer document links allow access to people who possess the link, including anyone to whom it is forwarded. Share them carefully. Delivery to an email service is not proof of inbox delivery or that a client has read a message. Keep appropriate independent business records.

4. Client payments and third-party services

Client payments are separate from your Dayline subscription. Where Stripe Connect is enabled and you choose to connect it, Stripe provides payment processing under its applicable Services Agreement and Connected Account Agreement, available at stripe.com/legal. You must complete Stripe onboarding and remain eligible. You authorize Dayline to access connected account information and perform the supported invoice and payment actions you request, and to receive related payment, refund, dispute, and account-status updates.

You remain responsible for your transactions, accurate payment instructions, customer service, refunds, disputes, taxes, and processor obligations. Stripe determines its fees, verification requirements, holds, reserves, and payout timing. Dayline adds no percentage fee to client payments under the current plan. These terms do not change Stripe agreements or eliminate responsibilities Stripe assigns to us or you.

Status updates may be delayed. Verify important balances in Stripe. Revoking access can stop synchronization without closing your Stripe account or canceling its obligations. Other-provider links and offline receipts require your own reconciliation; Dayline does not verify manually recorded receipts. Third-party services have their own terms and privacy practices. Features described here apply only when enabled; private-preview features may be unavailable.

5. Trial, subscription, and cancellation

Your 14-day trial requires no card and starts when you first access your verified workspace. It does not automatically become a paid subscription. Purchasing a subscription starts the paid period immediately, including if trial time remains. The current price is $29 USD monthly, plus any applicable taxes disclosed at checkout. Paid subscriptions renew monthly until canceled. Checkout shows the amount and billing details before you authorize payment.

Cancel through Billing > Manage billing, or contact support if you cannot access it. Ordinary cancellation stops renewal and preserves access until the paid-through date. When trial or paid access ends, creating or changing business records is restricted; existing records remain available for viewing and supported export, subject to account closure, security restrictions, and retention described in our Privacy notice. Cancellation is not a deletion request. Our Billing and refunds policy describes first-payment refunds and exceptions.

6. Availability, changes, and support

We use reasonable care to operate Dayline, but do not promise uninterrupted availability, error-free calculations, email delivery, payment settlement, or a particular business result. Maintenance, outages, and third-party failures can occur. Backups aid recovery but are not an archival service or a guarantee against loss. Export important records regularly. Support is available at support@whitebirchhq.com; response estimates are not a service-level guarantee.

We may improve or change the service. For a material reduction to paid core functionality, a subscription price increase, or a material terms change, we will normally provide at least 30 days of notice by email or a prominent in-app notice before it affects you. Changes needed urgently for security or law may take effect sooner. Price increases apply prospectively at renewal. If you disagree, cancel before the change applies. We will seek fresh assent where required by law and will not retroactively remove accrued rights.

7. Suspension, termination, and your records

We may restrict access when reasonably necessary to address abuse, security threats, nonpayment, or legal requirements. Where practical, we will explain the reason and allow a reasonable opportunity to resolve it. You may stop using the service or request closure at any time. Export records before requesting deletion: closure can remove client document access and cannot necessarily be reversed.

If we permanently discontinue the service or terminate your paid account for reasons other than your material breach, we will refund the unused prepaid portion and, where lawful and practical, provide a reasonable export opportunity. Amounts lawfully owed and provisions intended to survive termination remain in effect.

8. Warranties and limits of liability

TO THE EXTENT PERMITTED BY LAW, DAYLINE IS PROVIDED AS IS AND AS AVAILABLE. EXCEPT FOR EXPRESS PROMISES IN THESE TERMS, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Nothing excludes a warranty or remedy that cannot lawfully be excluded.

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM THIS AGREEMENT. OUR TOTAL LIABILITY ARISING FROM THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF $100 OR THE DAYLINE SUBSCRIPTION FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to our fraud, willful misconduct, gross negligence, or liability that applicable law does not permit us to limit. They do not limit an expressly promised refund.

9. Third-party claims

To the extent permitted by law, you will defend and indemnify us against a third-party claim and reasonable resulting costs to the extent caused by your unlawful use of Dayline, infringement by content you supply, or your catering services. This does not cover claims caused by our breach, negligence, or misconduct. We must promptly notify you, cooperate reasonably at your expense, and permit you to control the defense with competent counsel. You may not settle a claim in a way that admits wrongdoing by us or imposes obligations on us without our reasonable written consent.

10. Resolving disputes and other terms

Please contact support first so we can try to resolve a concern informally. This is not a barrier to seeking urgent relief or exercising legal rights. Minnesota law governs, without its conflict-of-law rules, except where applicable law requires otherwise. Disputes may be brought in the state or federal courts located in Minnesota, subject to mandatory jurisdiction rules. These terms do not require arbitration or waive class actions.

These terms and the incorporated billing policy are our agreement about Dayline. If a provision is unenforceable, the remaining provisions remain effective. A delay in enforcement is not a waiver. You may not assign this agreement without our reasonable consent; we may assign it as part of a merger, reorganization, or sale of the service subject to the privacy commitments and your rights here. We are not responsible for delays beyond reasonable control, but this does not remove expressly promised refund obligations. Notices can be sent to the account email or our support address.
